Terms of Service

These Terms of Service ("Terms") govern your access to and use of the VibeStartup service (the "Service"), operated by VibeStartup ("we", "us", or "our"). By accessing or using the Service, you agree to be bound by these Terms.

1. Eligibility

You must be at least 13 years old (or the minimum age of digital consent in your jurisdiction) to use the Service. By using the Service, you represent and warrant that you meet this requirement.

2. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately of any unauthorized use.

3. Acceptable use

You agree not to use the Service in violation of our Acceptable Use Policy, which is incorporated into these Terms by reference. Prohibited activities include, without limitation, illegal activity, infringement of intellectual property, distribution of malware, and abuse of system resources.

4. User content

You retain all ownership rights to the content you upload or create on the Service. You grant us a limited, non-exclusive, worldwide license to host, store, reproduce, and process your content solely for the purpose of providing and improving the Service.

You are solely responsible for your content. You represent that you have all rights necessary to upload and use the content on the Service.

5. Paid plans, billing, and refunds

Certain features of the Service are offered on a subscription basis. By subscribing, you authorize us to charge the payment method on file on a recurring basis until you cancel. You may cancel at any time from your account settings. We do not generally issue refunds for partial months, but will consider refund requests in good faith on a case-by-case basis.

6. AI output

The Service uses third-party language models to generate output in response to your prompts. You are responsible for reviewing and validating any AI output before relying on it. AI output may contain errors, inaccuracies, or content that is not suitable for your purposes. We do not guarantee the accuracy, completeness, or fitness for a particular purpose of any AI output.

7. Service availability

We strive to provide a reliable Service, but we do not warrant that the Service will be available, uninterrupted, timely, secure, or error-free. We may modify, suspend, or discontinue the Service at any time.

8. Termination

You may terminate your account at any time. We may suspend or terminate your access to the Service for violation of these Terms or for any other reason, with or without notice. Upon termination, your right to use the Service ceases immediately.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL VIBESTARTUP BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRIOR TO THE CLAIM, OR (B) US $100.

11. Indemnification

You agree to indemnify and hold harmless VibeStartup from any claims, damages, liabilities, and expenses arising from your use of the Service or violation of these Terms.

12. Governing law

These Terms are governed by the laws of the State of California, United States, without regard to its conflict-of-laws provisions. Any dispute arising under these Terms shall be resolved in the state or federal courts located in San Francisco, California.

13. Changes

We may update these Terms from time to time. We will post the revised Terms on this page and update the "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the revised Terms.
